Syndication Terms and Conditions
STANDARD TERMS AND CONDITIONS FOR SYNDICATION OF BROADCAST EAST PRE-RECORDED RADIO SHOWS
These Terms and Conditions ("Agreement") are entered into by and between Broadcast East ("Licensor") and the subscribing radio station ("Licensee") for the syndication of Broadcast East pre-recorded radio show(s) described as the "Show" or "Shows" and listed in the Schedule below.
1. Grant of License
1.1. Subject to the terms herein, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to broadcast the Show(s) until January 1st 2027
1.2. This license is for broadcast rights only. All other rights, including but not limited to digital rights, on-demand rights, and intellectual property rights in the Show(s), remain the sole and exclusive property of Licensor.
2. License Fee
2.1. The transmission and provision of the Show(s) by Licensor to Licensee are provided free of charge. Licensor does not charge a syndication fee.
2.2. Notwithstanding Clause 2.1, Licensee is solely and fully responsible for all music royalty payments, including but not limited to all fees due to MCPS, PPL, PRS, or any other applicable national or international copyright collection society, arising from the broadcast of the Show(s).
2.3. Licensee is solely responsible for ensuring its broadcast activities comply with all local copyright and broadcasting regulations.
3. Delivery & Technical Specifications
3.1. Shows will be delivered via a secure Google Drive folder, access to which will be provided to the Licensee's nominated Programme Manager.
3.2. Licensor will notify the nominated Programme Manager via email when new Show(s) are available for download.
3.3. All Shows will be supplied in the following format: 320 kbps, 44100 Hz, stereo MP3.
3.4. Shows will be supplied as either: (i) a single 3-hour file, or (ii) 3 x 58-minute segmented files, at Licensor's discretion.
4. Content & Broadcast Obligations
4.1. Sponsorship: Each Show contains integrated advertisement(s) for the Show's sponsor(s). Licensee expressly agrees not to remove, alter, mute, or obscure any sponsor advertisement, sponsorship credit, or billboard within the Show. Any breach of this clause shall be considered a material breach of this Agreement.
4.2. Host: The principal host of the Show is Richard J. Hannah. Licensor reserves the right, at its sole discretion, to substitute the host to cover holidays, sickness, or for any other operational reason.
4.3. Tracklist: A list of tracks and artists featured in each Show will be provided in a separate Word format document accompanying the audio file.
4.4. Scheduling Notification: Licensee agrees to advise Licensor (Broadcast East) of its intended broadcast schedule for the Show(s), including day, time, and time zone. This information must be provided promptly upon scheduling and updated in case of changes.
5. Licensor's Warranties & Liabilities
5.1. Licensor warrants it has the necessary rights to grant the broadcast license for the Show(s), excluding underlying musical works and sound recordings (see Clause 2.2).
5.2. The Show is provided "as is". Licensor makes no warranties, express or implied, regarding the Show's merchantability, fitness for a particular purpose, or non-infringement of third-party rights (except as stated in 5.1).
5.3. Licensor's total liability to Licensee under this Agreement shall be limited to the amount of fees paid under this Agreement (being £0). Licensor shall not be liable for any indirect, consequential, or incidental damages.
6. Term & Termination
6.1. This Agreement shall commence on the date of first delivery of a Show and shall continue until terminated by either party with thirty (30) days' written notice.
6.2. Either party may terminate this Agreement immediately for material breach by the other party.
6.3. Upon termination, Licensee must immediately cease all broadcasts of the Show, delete all copies of the Show from its systems, and confirm in writing that it has done so.
7. General Provisions
7.1. Entire Agreement: This document constitutes the entire agreement between the parties.
7.2. Amendment: No amendment is effective unless in writing and signed by both parties.
7.3. Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
7.4. Force Majeure: Neither party is liable for failure to perform due to causes beyond its reasonable control.
7.5. Notices: All notices shall be in writing and sent via email to the addresses provided by each party.
